Terms and Conditions

Acceptance of Terms

By accessing or using the OptifiNow platform and related services (the "Service"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Description of Services

OptifiNow is a SaaS-based Customer Relationship Management (CRM) platform licensed to enterprise organizations. These organizations provision individual user accounts to their employees, enabling access to tools, features, and content provided by OptifiNow.

User Accounts and Responsibilities

Users are employees or agents of an enterprise customer and are provisioned accounts by their enterprise. Users agree to provide accurate information and maintain the security of their login credentials. Unauthorized use of the platform is strictly prohibited.

License and Access

OptifiNow grants users a non-transferable, non-exclusive, revocable license to access and use the platform in accordance with these Terms and the terms of the enterprise license agreement.

​

Restrictions on Use

Users shall not (a) copy, modify, reverse engineer, decompile, or disassemble any part of the platform, (b) access the platform to build a competing product, or (c) use the platform in violation of any applicable law or regulation.

Intellectual Property Rights

All content, software, and trademarks on the platform are the property of OptifiNow or its licensors. Unauthorized use is strictly prohibited.

Confidentiality

Users may have access to confidential information. Users agree not to disclose or use such information except as necessary to use the platform under these Terms.

Third-Party Services and Links

The platform may contain links to third-party services. OptifiNow is not responsible for the content or practices of third-party services and disclaims all liability related thereto.

Privacy

OptifiNow collects and uses data in accordance with its Privacy Policy https://www.optifinow.com/privacy-policy. Users may store client data on the platform, and OptifiNow does not share this data with third parties unless the third party is an authorized technology partner designated by the enterprise customer.

User Content and Data

Users may upload data, content, and other materials to the platform. Users retain ownership of their content but grant OptifiNow a limited license to use the data solely for providing the service. Users are responsible for the legality and accuracy of their uploaded content.

Term and Termination

These Terms remain in effect until terminated by the enterprise customer or upon user account deactivation. OptifiNow may suspend or terminate access at its discretion for violations of these Terms.

​

Disclaimers and Warranties

The platform is provided "as is" without warranties of any kind. OptifiNow disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

In no event shall OptifiNow be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising out of or related to the use of the platform.

​

Indemnification

Users agree to indemnify and hold harmless OptifiNow, its officers, employees, and affiliates from any claims or liabilities arising from user conduct or data submitted to the platform.

​

Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

​

Dispute Resolution

Any disputes shall be resolved in the state or federal courts located in Orange County, California. OptifiNow does not require arbitration as the exclusive remedy.

Modifications to Terms

OptifiNow may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the revised Terms.

​

SMS Services and Consent

OptifiNow may use SMS (Short Message Service) to communicate important service-related information to Users, such as security notifications including two-factor authentication (2FA), Appointment Reminders, and product updates. Typical SMS frequency will be 2 messages per week per User, standard message & data rates may apply. 

 

An example message may be:

“Your OptifiNow Verification Code is:  XXXX”

 

Consent to receive such messages is collected from Users during their account setup process.  The User will be prompted on the Create User Login webpage to Consent to receive SMS messages.  If consent is not provided, Users will not receive SMS messages from the OptifiNow platform.  If a User wishes to Opt-Out at any time they may reply STOP
